These terms constitute a legally binding agreement between you ("Client", "Brand", "you") and SourceCode India ("we", "us", "our"). If you do not agree with any part of these terms, please do not use our services.
SourceCode India specializes in sustainable garment manufacturing including:
All services are subject to availability and confirmation through a formal purchase order or service agreement.
Our standard MOQ is 500 units per style. Exceptions may be considered on a case-by-case basis and require written confirmation from our team.
Orders are not binding until confirmed in writing by SourceCode India. A deposit of 50% is required to initiate production unless otherwise agreed.
Sample development timelines and costs will be provided upon request. Sample approval is required before full production begins.
All prices are quoted in USD or EUR unless otherwise specified. Payment terms are as follows:
Prices are subject to change based on raw material costs, exchange rates, and order specifications. Quoted prices are valid for 30 days.
We maintain active certifications including Global Recycled Standard (GRS) and Better Cotton Initiative (BCI). Additional certifications are available upon request.
All products are manufactured according to AQL 2.5/4.0 industry standards. Third-party inspections can be arranged at client expense.
We provide full transparency on fabric specifications including count, construction, weave, and fold length. You pay for exactly what you receive.
Average bulk production time is 45 days from deposit and sample approval. Lead times are estimates and may vary based on order complexity, material availability, and seasonal factors.
Delivery terms are EXW (Ex Works) from our facility unless otherwise specified in your agreement. Risk of loss transfers to buyer upon shipment.
All designs, patterns, and specifications provided by the client remain the client's intellectual property. SourceCode India will not reproduce or share client designs with third parties without explicit written consent.
Our manufacturing processes, techniques, and internal documentation remain our intellectual property and may not be reproduced or shared.
Factory photos, production videos, compliance reports, and certification documents are available upon request under a Non-Disclosure Agreement (NDA). We maintain SMETA audit cycles every 12 months for full operational transparency.
To the maximum extent permitted by law, SourceCode India's liability shall not exceed the total amount paid by the client for the specific order in question. We are not liable for indirect, incidental, or consequential damages including lost profits or business interruption.
The client agrees to indemnify and hold SourceCode India harmless from any claims, damages, or expenses arising from:
Either party may terminate a specific order by providing written notice. Termination fees may apply based on production stage. SourceCode India reserves the right to refuse service to any client violating these terms.
These terms shall be governed by and construed in accordance with the laws of India. Any disputes arising shall be subject to the exclusive jurisdiction of courts in [Your City], India.
